
On August 25, 2021, a Corporate Secretary Service with a staff of 3 units was established at the L.N.Gumilev Eurasian National University.
By the decision of the Board of Directors of the Company of October 26, 2022, Minutes No.08/22, Madiyar Batykhanovich Orynbayev was appointed to the position of the Corporate Secretary.
Tasks and main functions of the Corporate Secretary:
1) ensuring compliance by the Company’s bodies and officials with legislation in the field of corporate governance, the Charter and internal regulatory documents of the Company, as well as improving corporate governance policies and practices;
2) ensuring the effective operation of the Board of Directors;
3) ensuring the storage, disclosure and provision of essential information on the Company within the scope of the provided competence, as well as maintaining a high level of information transparency.
In order to fulfill the task of ensuring compliance by the Company’s bodies and officials with legislation in the field of corporate governance, the Charter and internal documents of the Company, as well as improving corporate governance policies and practices, the Corporate Secretary is entrusted with the following functions:
1) provision and organization of consultations to the Company’s officials, within their competence, on issues related to legislation and internal documents of the Company;
2) informing the Board of Directors on violations of the legislation and internal documents of the Company revealed in the Company;
3) participation in the development and revision of the Company’s internal documents;
4) monitoring and analysis of existing practices, trends, and development prospects in the field of corporate governance in the Republic of Kazakhstan and abroad and making information and recommendations to officials, relevant bodies and heads of structural divisions of the Company.
Principles of corporate governance:
– the principle of separation of powers;
– the principle of protecting the rights and interests of shareholders;
– the principle of effective management of the Company by the Board of Directors and the Management Board;
– the principle of sustainable development;
– the principle of risk management, internal control and audit;
– the principle of regulating corporate conflicts and conflicts of interest;
– the principle of transparency and objectivity of disclosure of information about the Company’s activities.

Orynbayev Madiyar
EDUCATION
In 2009 he graduated from Taraz State University named after M.Kh. Dulati with a Bachelor degree in Economics.
In 2010, he graduated from the Academy of Public Administration under the President of the Republic of Kazakhstan with a degree in Master of Public Administration.
PROFESSIONAL EXPERIENCE
In 2007-2010, he worked in various positions of the Akimat of Zhambyl region; in 2009-2010, he headed the Department of the Internal Policy of the Akimat. In 2010-2011, he worked at the Ministry of Economic Development and Trade of the Republic of Kazakhstan as an Expert, Chief Expert.
In 2011-2013, he worked as an Expert in the Administration of the President of the Republic of Kazakhstan.
In 2013-2016, he was an Adviser to the First Deputy Prime Minister of the Republic of Kazakhstan.
From 2016 to 2018, he was a Corporate Secretary of the JSC “NC “Kazakhstan Temir Zholy”.
From 2018 to 2020, he was a Managing Director for Business Development of the JSC “Kedentransservice”.
From 2021 to 2022, he conducted individual entrepreneurial activities. Since October 2022 he is a Corporate Secretary of the Non-Profit Joint-Stock
Company “Eurasian National University named after L.N. Gumilyov”.
